Terms of Service

Please read these terms carefully before using the Care Home Platform. By subscribing or using the platform, you agree to be bound by these terms.

1. Introduction

Care Home Platform is operated by Automate Labs ("we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Care Home Platform and related services ("the Platform"), whether as an organisation subscribing to the Platform or as an individual user accessing it on behalf of a subscribing organisation.

By subscribing to, or using, the Platform you agree to these Terms. If you do not agree, you must not use the Platform.

2. Definitions

Platform
The Care Home Platform software-as-a-service application, including all features, tools, reports, and automations accessible via carehomeplatform.com.
Services
The features, functionality, and support provided by Automate Labs under these Terms.
Customer
The organisation (e.g. a care provider or care home group) that holds a subscription to the Platform.
User
Any individual who accesses the Platform under a Customer's account, including owners, managers, and workers.
Subscription
A paid or trial access arrangement between the Customer and Automate Labs, enabling use of the Platform.
Operational Home
A single registered care home location enabled within the Platform under a Customer's subscription.
Content
Any data, records, documents, files, notes, or other information uploaded to or created within the Platform by Users.

3. Eligibility

To subscribe to the Platform as a Customer, you must be a care provider registered in the United Kingdom and operating under the relevant regulatory framework (such as Ofsted registration for children's homes in England).

Users must be employed by or contracted to the Customer organisation. By creating or accepting a user account, you confirm that you are authorised by the Customer to access the Platform on their behalf.

4. Subscription and Billing

  • Subscriptions are billed monthly per Operational Home, processed via Stripe. Pricing is confirmed at the point of subscription.
  • Subscriptions renew automatically each month unless cancelled before the renewal date.
  • We will give at least 30 days' written notice of any price changes before they take effect.
  • Additional Operational Homes added during a billing period will be charged on a pro-rated basis for the remainder of that period.
  • Failure to pay may result in suspension of access in accordance with Section 11.

5. Permitted Use

The Platform may be used solely for lawful care management purposes relating to the Customer's registered care homes. This includes managing children's records, staff compliance, regulatory documentation, progress notes, and related care operational tasks. Any other use requires our prior written consent.

6. Prohibited Use

You must not use the Platform to:

  • Resell, sublicense, or provide access to the Platform to third parties outside your organisation
  • Reverse engineer, decompile, or attempt to extract the source code of the Platform
  • Export or use data from the Platform for non-care commercial purposes
  • Share login credentials or multi-factor authentication codes with others
  • Attempt to access data belonging to another organisation (cross-tenant access)
  • Upload malicious files, code, or content to the Platform
  • Use the Platform in any way that violates applicable law, including the Computer Misuse Act 1990 or UK GDPR

7. Your Data

The Customer retains full ownership of all Content uploaded to or created within the Platform. Automate Labs does not claim any intellectual property rights over your data.

Automate Labs acts as a data processor in relation to care home operational data. Our processing activities are governed by our Data Processing Agreement. For more information, see our Privacy Policy.

You are responsible for ensuring that your use of the Platform, including any data you upload or process, complies with all applicable laws and your obligations as a data controller.

8. Intellectual Property

All intellectual property rights in the Platform, including its software, design, features, trademarks, and documentation, belong exclusively to Automate Labs or its licensors. Nothing in these Terms grants you any rights in or to the Platform beyond the limited right to use it in accordance with your subscription.

All intellectual property rights in the Customer's Content remain with the Customer.

9. Availability

We will use reasonable endeavours to ensure the Platform is available and performant. Planned maintenance will be communicated in advance where possible. For details of our availability commitments, please see our Service Level Agreement at /sla (available on request). We do not guarantee uninterrupted or error-free operation.

10. Support

Support is provided by email at chp@automatelabs.co.uk. We aim to respond to all support requests within two business days. Response times may vary during periods of high demand or outside UK business hours. Support is provided in English.

11. Suspension and Termination

Termination for cause

We may suspend or terminate access immediately, without notice, if you breach these Terms, fail to pay subscription fees, or misuse the Platform in a way that poses a risk to other users or to the integrity of the service.

Termination for convenience

Either party may terminate the subscription for any reason by giving 30 days' written notice.

Data export on termination

Following termination, we will make your data available for export for a period of 30 days. After this period, we will securely delete your data in accordance with our data retention policy, unless legally required to retain it.

12. Liability

To the maximum extent permitted by applicable law, Automate Labs excludes all liability for indirect, consequential, special, or punitive loss or damage arising from your use of the Platform, including but not limited to loss of profits, loss of data, or business interruption.

Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Platform shall not exceed the total subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law. Your statutory rights are not affected.

13. Safeguarding

The Platform is a software tool designed to support care management. It does not replace professional judgment, statutory obligations, or the regulatory responsibilities of the care home or its staff. The Customer and its employees remain solely responsible for all safeguarding, regulatory compliance, and care quality obligations under applicable legislation, including the Children Act 1989, the Care Standards Act 2000, and associated Ofsted regulations.

14. Changes to Terms

We may update these Terms from time to time. Where changes are material, we will notify you by email at least 30 days before the updated Terms take effect. Your continued use of the Platform after that date constitutes your acceptance of the updated Terms. If you do not accept the changes, you may terminate your subscription before they take effect.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
